Terms and Conditions
These terms and conditions of business are between i-Angel and the Client.

Term Definitions

The “client” is defined as a company, firm or person including its subsidiaries, holding companies utilising the services of i-Angel.

“Candidate” is the person introduced by i-Angel

“i-Angel service” means the service used to find potential Candidate for Clients.

“Candidate Replacement Scheme” is the scheme in which i-Angel will attempt to provide a replacement for a Candidate who ceases employment within 4 weeks of the start date on the terms set out in clause 3.

“Start Date” is the date on which the Candidate commences employment.

“Employment” means a position filled by a Candidate who is working for the Client. A Candidate is employed or to which he/she provides services in any such case whether on a full-time or part-time basis or fixed or temporary basis and any partnership type relationship.

“Recruitment Fee” is the fee payable to i-Angel by the Client under clause 1.1




1. Recruitment Fee

1.1 The Client agrees that if any Candidate accepts an offer and commences employment with the client then the Client will become liable to pay a Recruitment Fee to i-Angel.

1.2 Recruitment Fee is based on a percentage of the Candidate’s first year salary. Salary includes all guaranteed income and bonuses.

1.3 The Recruitment Fee is payable within 14 days of the start date for the Candidate.

1.4 If payment is not made within 14 days then the Client may be required to pay interest on the amount due under the invoice. Interest will be charged on a monthly basis at the Bank of England’s rate until full payment is received.

1.5 If i-Angel incurs any legal costs as a result of non- or late payment of invoices, the Client will become liable for such costs.



2 General

2.1 The Client will inform i-Angel in writing and by telephone immediately when a Candidate accepts an offer or the Client confirms an offer and when he/she starts employment.

2.2 The Client will keep details of the Candidate’s strictly private and confidential and agrees that if the Client distributes or refers Candidate’s details to a third party which results employment of a Candidate by a third party then the Client is liable to pay i-Angel full Recruitment Fee. See clause 1.2 

2.3 The client is responsible for taking references to substantiate skills, qualifications, integrity, and the satisfactions of medical needs and the requirements of any work permits. 

2.4 i-Angel shall not be responsible for the accuracy of the information contained on the Candidate’s curriculum vitae or any other document presented or information, verbal or written to the Client unless it know the information to be untrue.

2.5 i-Angel shall be under no liability for any loss or damage occurred to the Client arising from any act or omission of any Candidate pursuing or breaching the duties of their employment, or failing to commence employment on a agreed date or leaving employment thereafter. However i-Angel will find a replacement Candidate if he/she leaves within 4 weeks of employment from start date but will not be liable for any loss or damage. Clause 3. 

2.6 i-Angel will not find an replacement free of charge if the candidate is made redundant, replaced or given a dismissal notice. Clause 3.2



3 Candidate Replacement Scheme 

3.1 If the Candidate leaves employment of the Client within 4 weeks of the start date then i-Angel will attempt to provide one replacement Candidate to the Client’s reasonable satisfaction upon the Candidate giving termination notice. 

3.2 The Candidate Replacement Scheme will not apply where the Client replaces the Candidate via other sources or ceases the role to be filled due to merger, acquisition, disposal, internal restructuring, financial difficulties, termination of employment due to mis conduct or Candidate pursuing or breaching the duties of their employment or make the Candidate redundant. 

3.3 If the Client finds another Candidate through other sources after our Candidate terminates employment within 4 week i-Angel will rebate half of the Recruitment Fee. Any late payment or interest charged will not be refunded.
